We advised our client throughout the process of acquiring full rights to a long-used IT system supporting internal operations, previously operated under a standard commercial license.
Our support covered, among other things, negotiating the acquisition agreement and establishing a legal framework for further in-house development. A key part of the project involved aligning licensing provisions with the client’s business objectives to ensure the planned use of the tool would not trigger any contractual violations.
We identified and eliminated clauses that could have unjustifiably limited the system’s scalability or its integration with other technologies. We also negotiated balanced liability terms, including clearly defined caps on contractual penalties.
Despite multiple changes during the negotiation process, the project concluded with a signed agreement that enables the client to develop and evolve the system in line with their own IT roadmap and strategic goals.
