We supported a tech company through a complex investment process involving the entry of a new shareholder. This required careful planning of the share capital increase and the alignment of interests between existing and incoming shareholders. Our work covered not only the preparation of investment documentation and amendments to the company’s articles, but also renegotiations with earlier investors.
Given the anticipated participation of additional investors in the future, we designed a legal framework that accounts for potential changes in the ownership structure at later stages of the company’s growth. An additional challenge involved coordinating cascading capital increases while maintaining continuity and compliance across all corporate documents.
